Terms of Service
Draft — not yet reviewed by legal counsel. These terms are not final and may change before launch. Items marked [TBD] are still open.

1. About these terms
These Terms of Service (“Terms”) are an agreement between you and Saucer Inc. (株式会社Saucer), a company incorporated in Japan (“we”, “us”), for the use of Siteon (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you use the Service for a company or other organisation, you agree to these Terms on its behalf and confirm that you have the authority to do so. In that case “you” means that organisation.
Some parts of these Terms apply only to consumers (people acting for purposes outside their trade or business), and some only to business customers. Where these Terms say so, the mandatory consumer law of your country always applies.
2. The Service
Siteon gives websites — including ones built with AI tools — the parts that sit around them:
- hosting on a subdomain of
siteun.comand on custom domains; - a content management system (CMS), forms (including standalone form pages, surveys and sign-ups with capacity limits) and bookings;
- page-view analytics and notifications (email, Slack, webhooks, Google Sheets);
- optional Google connections (Sheets and Calendar) and AI features such as translation;
- an API, a command-line tool (
siteon) and an MCP server, so that you or an AI agent acting for you can operate your account.
Features marked “coming soon” on our website are plans, not commitments. The Service is self-service: help is provided through our documentation and automated tools. We do not promise individual help from our staff, except for billing and legal matters sent to the contact in section 19.
3. Accounts
- You must be at least 18 years old and able to enter into a binding contract. [TBD: confirm the minimum age]
- Give accurate information, including your billing country and address, and keep it up to date. Your billing country decides your currency and taxes (section 4).
- Keep your sign-in methods, sign-in links and API keys secret. You are responsible for everything done with your account, by your team members and by any person or AI agent using your credentials.
- Account owners decide who can join the account and with which role. Site owners can be given access to a single site.
- Do not create several accounts to get more free allowance, and do not try to get around plan limits.
4. Plans, fees and billing
Plans
Plans and prices are shown on our pricing page. Paid plans are charged per site. The Free plan can publish on a subdomain of our hosting (not on your own domain) and shows a small “Made with” badge on hosted pages; you must not remove or hide the badge. Its limits are per account, and we may change them.
Currency and taxes
- Your currency is decided by the country of your billing address, and you cannot choose it: Japanese yen (JPY) if the address is in Japan, US dollars (USD) everywhere else. Once fixed, the currency of an account does not change.
- Prices are shown without tax. For JPY contracts, Japanese consumption tax (currently 10%) is added. For USD contracts, tax such as VAT or sales tax is calculated by our payment provider (Stripe) based on your location, where we are required to collect it.
- In the EU and the UK, you may give a VAT number. If it is verified, the reverse-charge rules apply and no VAT is added. If you give none, or it cannot be verified, we charge VAT as for a consumer.
- We sell only in countries where we have completed the required tax registrations. Countries that are not yet open are shown as “coming soon”.
Payment, renewal and changes
- Payments are processed by Stripe. Fees are charged in advance for each billing period. The billing period (monthly or yearly) is the same for every site in an account and is set at the first purchase.
- Subscriptions renew automatically at the end of each period until cancelled.
- Adding a site or upgrading a plan takes effect immediately, and the difference for the rest of the period is charged at once.
- Downgrades and cancellations take effect at the end of the current period. Until then, the current plan stays in force.
- If a payment fails, we will retry and tell you. From 7 days after the first failure, editing and new deployments are paused until payment is confirmed (your sites stay online and forms keep accepting submissions). If it is still not paid after 30 days, the subscription ends and your sites move to the Free plan.
- We may change prices with advance notice. A change applies from your next renewal after the notice period. [TBD: notice period, e.g. 30 days]
Refunds
Except where the law requires otherwise (including the consumer withdrawal right in section 5), fees already paid are not refunded, including when you delete a site or close your account before the end of a period; no pro-rated refunds are made. [TBD: refunds or compensation when the failure is ours]
Usage limits
Each plan has limits (for example, form submissions per month, storage and AI jobs). When a limit is reached, the related function may stop until the next period or until you upgrade. Hosted pages are not stopped because of request counts; we will warn you and suggest a larger plan.
5. Right of withdrawal for consumers in the EU and the UK
If you are a consumer in the EU or the UK, you generally have a right to withdraw from a contract for a digital service within 14 days of the contract being made, without giving a reason.
- We will ask you at checkout whether you want the paid service to start immediately, within the withdrawal period. If you ask for that and confirm that you understand the effect, and you then withdraw, you may have to pay for the service provided up to the withdrawal, or you may lose the right of withdrawal, as allowed by the law of your country. [TBD: full refund or pro-rata refund, after legal review]
- The withdrawal procedure (how to send a withdrawal, how it is confirmed and how refunds are made) will be described at checkout before we open sales to consumers in each country. Until an in-app option is available, you may withdraw by sending a clear statement to the contact in section 19. [TBD: model withdrawal form and the in-app withdrawal option]
- Nothing in these Terms limits any right you have under the mandatory consumer law of your country.
6. Acceptable use
You must not use the Service, or any site hosted on or connected to it, to:
- carry out phishing, collect passwords or payment card details under false pretences, or pretend to be another person, company or service;
- distribute malware, or host files meant to compromise devices or accounts;
- publish content that is illegal where you or your visitors are, including child sexual abuse material, content that infringes intellectual property or privacy rights, defamation, or content that promotes terrorism or violence;
- run scams, sell counterfeit or prohibited goods, or make misleading claims;
- send spam, or use forms to collect data from people who have not agreed to give it;
- collect special categories of personal data or children’s data without a lawful basis and the protections the law requires;
- use hosting mainly for purposes other than serving a website (for example, as general file storage, a download mirror or a proxy);
- attack, overload, scan or test the security of the Service or other customers’ sites without our written permission, or access data that is not yours;
- get around plan limits, rate limits, bot checks or security controls.
We may review reports and take action, including removing content, suspending a site or a custom domain on *.siteun.com or elsewhere, or closing an account. AI may help us sort reports, but a person decides on suspension. Where it is safe and lawful, we will tell you the reason and let you respond or appeal. [TBD: response times and appeal process]
Reports about sites hosted on the Service can be sent at siteun.com/report.
7. Your content
- You keep all rights to the content you upload or publish through the Service (site files, CMS entries, images, form definitions and the data you collect).
- You give us a worldwide, non-exclusive, royalty-free licence to store, copy, process, translate (when you use AI features), display and deliver that content, only as needed to provide the Service to you and to keep it secure. The licence ends when the content is deleted from the Service.
- You confirm that you have the rights needed for your content and that it does not break the law or these Terms.
- We do not claim ownership of your content and do not use it to train AI models.
8. Data protection and your visitors
- For the personal data of visitors to your sites (form submissions, bookings, analytics), you are the controller and we process it for you as described in our Privacy Policy. Our data processing agreement forms part of these Terms. [TBD: publish the data processing agreement (DPA)]
- You are responsible for giving your visitors a privacy notice, getting any consent you need (for example, for browser storage or marketing), and answering their requests.
- Google connections are also subject to Google’s terms. If you disconnect, related features stop until you connect again.
9. AI features and AI agents
- AI features can produce text that is inaccurate or unsuitable. Review AI output before you publish it. You are responsible for what you publish.
- If you let an AI agent use the CLI, the MCP server or an API key, the agent acts for you. Actions it takes — including deployments, deleting content and, within the monthly limit and approvals you have set, changing plans — are treated as your actions.
- Give AI agents only the access they need, and revoke keys you no longer use. We are not responsible for the behaviour of third-party AI tools.
10. Third-party services
The Service works with services run by others, such as Stripe, Google, Slack, domain registrars and the AI tools you use. Their own terms apply to your use of them, and we are not responsible for them.
11. Our rights
The Service, including its software, the embedded script, the CLI and our documentation, belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use it under these Terms. The command-line tool distributed on npm (siteon-cli) is provided under the MIT licence, and you may use it on those terms. If you send us feedback, we may use it without obligation to you.
12. Availability and changes to the Service
- We work to keep the Service available, but we do not guarantee that it will be uninterrupted or error-free. We do not offer a service level agreement. [TBD: whether to offer an SLA on higher plans]
- We may carry out maintenance and may change or remove features. If we remove a significant paid feature, we will give reasonable notice. [TBD: notice period]
- Keep your own copies of your site files and important data. You can export your data from the app.
13. Suspension and termination
- You can cancel your plans and close your account at any time from the app. After closing, there is a 30-day period in which you can download an export of your data. After that, your content and your visitors’ data are permanently deleted. Billing records are kept as the law requires.
- We may suspend or end your access, in whole or for a site, if you seriously or repeatedly break these Terms, do not pay, create a risk to the Service or others, or if the law requires it. For serious abuse (such as phishing or malware) we may act immediately without notice.
- Sections that by their nature should survive termination (for example, sections 7, 14, 15, 16 and 17) continue to apply.
14. Disclaimers
To the extent allowed by law, the Service is provided “as is” and “as available”, and we make no warranties other than those set out in these Terms. This does not affect any statutory rights that cannot be excluded, including those of consumers.
15. Limitation of liability
- To the extent allowed by law, we are not liable for indirect or consequential loss, lost profits, lost revenue, or lost data.
- To the extent allowed by law, our total liability for all claims relating to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. [TBD: confirm the cap]
- These limits do not apply to liability caused by our intent or gross negligence, to death or personal injury caused by negligence, or to any liability that cannot be limited under applicable law (including Japan’s Consumer Contract Act and the mandatory consumer law of your country).
16. Indemnity (business customers)
If you are a business customer, you will compensate us for claims by third parties, and the related reasonable costs, that arise from your content, your sites or your breach of these Terms. This section does not apply to consumers.
17. Governing law and courts
- These Terms are governed by the laws of Japan.
- The Tokyo District Court has exclusive jurisdiction as the court of first instance for any dispute relating to these Terms or the Service. [TBD: confirm the court]
- If you are a consumer living in the EU or the UK, this choice of law does not take away the protection of the mandatory law of your country, and you may also bring proceedings in the courts of your country.
18. Changes to these terms
We may change these Terms when needed, for example because of changes to the Service or to the law. We will post the new Terms on this page with the date they take effect and, for changes that are significant or that disadvantage you, tell account owners by email or in the app before they take effect. [TBD: notice period, e.g. 30 days]
If you do not agree to a change, you can stop using the Service and cancel before it takes effect. If you keep using the Service after that, the changed Terms apply.
19. General
- If any part of these Terms is found invalid, the rest remains in effect.
- You may not transfer your rights under these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of the business, with notice to you.
- These Terms are published in Japanese and English. [TBD: which language prevails if they differ]
- Information required by Japan’s Act on Specified Commercial Transactions is published on our Specified Commercial Transactions Act notice page.
